May 21, 2009. Long Beach. Planet Payment [UK: LSE:AIM: PPT and PPTR; USA: OTCQX: PLPM], a leading international multi-currency payment and data processor, announces the following changes in its issued share capital.
The Company has applied to AIM for 73,950 new Common Shares in aggregate to be admitted to trading as a result of the issue of 56,312 shares to Jon Kaiden, in lieu of payment of director’s fees owed to him for past services; and the issue of 17,638 shares in payment of annual interest on the Inter-Atlantic promissory note issued in 2005. The new shares are to be admitted to the Reg. S line trading under PPTR.
The shares are to be issued to Mr. Kaiden at a price of £0.40 per share (approximately $0.61) and following the issuance Mr. Kaiden will hold a total of 56,312 shares in the capital of the Company.
Following the admission of all of the above shares the Company will have a total of 33,962,747 issued and outstanding Common Shares of which 20,308,979 Shares will be trading on AIM under the ticker PPT, the unrestricted line, and 13,653,768 Shares will be trading on AIM under the ticker PPTR, the Reg S line. All unrestricted shares are tradable on the OTCQX in the United States under the ticker PLPM.
Dealings in the above shares are expected to commence on 28 May 2009.
