Issue of Shares

Planet Payment [UK: LSE: AIM: PPT and PPTR; USA: OTCQX: PLPM], a leading provider of international and multi-currency payment processing services, announces the following change in its issued share capital.

The Company has applied to AIM for 13,354 new Common Shares to be admitted to trading.  The shares are to be issued to the holder of a warrant issued in 2006, in lieu of payment of professional fees, upon net exercise of such warrant.  These new shares are to be admitted to the unrestricted line trading under PPT, at an exercise price of $0.25 per share (approximately £0.16).  

Following the admission of all of the above shares the Company will have a total of 51,764,405 issued and outstanding Common Shares of which 43,926,113 Shares will be trading on AIM under the ticker PPT, the unrestricted line and 7,838,292 Shares will be trading on AIM under the ticker PPTR, the Reg S line.  All unrestricted shares are tradable on the OTCQX in the United States under the ticker PLPM.

Dealings in the above shares are expected to commence on 27 January 2012.
